1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the Tradexploits website (tradexploits.com) and your engagement of Tradexploits (“we,” “us,” or “our”) for any service, course, or product described below. By using our website, submitting an enquiry, engaging us for a service, or enrolling in a course, you agree to be bound by these Terms and by our Privacy Policy, published separately, which is incorporated by reference. If you do not agree, do not use our website or services.
2. Description of Our Business
Tradexploits is a technology and business solutions company. We:
- Build and operate our own software products, including Winnni, a smart expense and budget tracker app, and other apps as they launch. Each Tradexploits app is governed by its own, separately published Terms and Conditions and Privacy Policy these Terms do not govern your use of Winnni or any other Tradexploits app.
- Provide the following services to individuals and businesses:
- Website & Mobile App Design & Development
- Digital Marketing Solutions (SEO, ASO, content, social media, paid ads, email marketing, branding)
- Financial Management & Reporting (bookkeeping, accounting, tax preparation, payroll, financial advisory)
- Online Assistance & Business Support (business registration support, CV/resume building, proposal and document preparation, virtual assistance)
- Project Management
- Tradexploits Academy; self-paced online courses (UI/UX design, digital marketing, project management, cybersecurity, entrepreneurship, finance/accounting, and related topics)
3. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract, to engage our services, enrol in a course, or submit information through our website. By doing so, you represent that you meet this requirement.
4. Service Engagements
Each service engagement (web/app development, digital marketing, financial management, business support, or project management) is subject to the specific scope, timeline, and pricing agreed with you in a proposal, quote, or statement of work. Where a written proposal or statement of work conflicts with these general Terms on a specific point, the proposal or statement of work governs for that engagement.
No guarantee of specific results. For digital marketing, SEO, ASO, and paid advertising services in particular, we do not guarantee specific outcomes (such as search rankings, traffic levels, follower counts, conversion rates, or revenue growth), as these depend on factors outside our control, including third-party platform algorithms, market conditions, and your own business decisions. We commit to applying professional, industry-standard practice to the engagement.
5. Tradexploits Academy – Courses
- Courses are offered on a self-paced basis, with pricing and access terms shown at the time of enrolment (some courses are free; others require payment).
- Course fees are processed through our third-party payment processor(s) (for example, Paystack); Tradexploits does not directly collect or store your card or bank account details.
- Upon completion of a paid or free course, you receive a certificate of completion. This certificate reflects course completion only and is not a professional accreditation, license, or degree unless explicitly stated for that course.

6. Not Financial, Legal, or Other Professional Advice (Where Applicable)
Our financial management and reporting services are provided to assist with bookkeeping, accounting, tax preparation, and related tasks, but do not constitute formal audited financial statements, legal advice, or investment advice unless expressly agreed in a specific engagement with an appropriately licensed professional. Similarly, our business-support services (e.g., business registration assistance, document preparation) are administrative and organisational support, not legal representation. You are responsible for verifying compliance with applicable law and, where appropriate, engaging a licensed attorney or accountant directly.
7. Client-Provided Content and Confidentiality
You may share business, financial, or personal documents with us in the course of a service engagement (for example, financial records for bookkeeping, or a CV for our resume service). We will treat this content as confidential and use it solely to deliver the engaged service, consistent with our Privacy Policy. You retain ownership of any content and materials you provide to us (“Client Content”). Upon completion or termination of an engagement, we will retain Client Content only as long as necessary for the purposes described in our Privacy Policy (including tax/accounting record-keeping), and will delete or return it on request, subject to any legal retention obligation.
8. Deliverables and Intellectual Property
Unless otherwise agreed in a specific proposal or statement of work:
- Upon full payment for a service (e.g., a completed website, app, or marketing asset), ownership of the final deliverable transfers to you, excluding any pre-existing Tradexploits tools, frameworks, or proprietary code libraries used to build it, which we retain the right to reuse.
- Course content, the Tradexploits Academy platform, and the Tradexploits website (including its design, branding, and source code) remain the intellectual property of Tradexploits. Enrolling in a course grants you a limited, non-exclusive, non-transferable licence to access that course content for your personal learning use.
9. Fees and Payment
Fees for services and courses are as quoted, invoiced, or shown at checkout, in Naira or another currency as specified. Payments are processed through our third-party payment processor(s) (for example, Paystack) or by direct bank transfer, as agreed for the engagement. Late payment on a service engagement may result in pausing deliverables until payment is received, as further specified in your proposal or statement of work.
10. Acceptable Use
You agree not to:
- Use our website or services for any unlawful purpose;
- Attempt to reverse-engineer, decompile, or circumvent any security feature of our website, course platform, or payment flow;
- Interfere with or attempt unauthorised access to our systems or another user’s/student’s account;
- Use automated means to scrape or extract data from our website or course platform;
- Share your Tradexploits Academy login or course access with anyone else; or
- Impersonate another person or misrepresent your affiliation with any person or entity.
We may suspend or terminate your access to our website, course platform, or an ongoing engagement if you violate this section.
11. Third-Party Services
Our website and services rely on third-party providers, including our course-platform host, payment processor(s) (for example, Paystack), and standard website/marketing tooling. Your use of our website is also subject to those providers’ own terms, to the extent they apply. We are not responsible for outages, errors, or data-handling practices of third-party providers beyond our reasonable control, though we select providers that offer contractual protections consistent with our Privacy Policy.
12. Termination
You may stop using our website, withdraw from an ongoing service engagement (subject to the terms of the applicable proposal or statement of work), or close your Tradexploits Academy account at any time by contacting us. We may suspend or terminate your access if you violate these Terms, engage in unlawful conduct, or fail to pay agreed fees, or where required by law.
13. Disclaimer of Warranties
Our website and services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement, except to the extent such warranties cannot be excluded under applicable law.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Tradexploits shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, business opportunity, or revenue, arising from your use of our website, a service engagement, or a course. Our total liability for any claim arising from a specific service engagement is limited to the fees you paid us for that specific engagement in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law, including mandatory consumer-protection provisions of Nigerian law or other law that applies to you notwithstanding the governing-law clause in Section 16.
15. Indemnification
You agree to indemnify and hold Tradexploits harmless from any claim, loss, or expense (including reasonable legal fees) arising from your violation of these Terms, your misuse of our website or course platform, or content you provide to us that infringes a third party’s rights.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles, except where mandatory local consumer-protection law of your country of residence requires otherwise, in which case that local mandatory law applies to the extent it conflicts with this clause. Any dispute arising from these Terms shall first be attempted to be resolved informally by contacting us at the details in Section 19.

17. Changes to These Terms
We may update these Terms from time to time, including to reflect changes to our service lineup or app portfolio. We will provide notice of material changes on our website, and continued use of our website or services after a change takes effect constitutes your acceptance of the revised Terms, to the extent permitted by applicable law.
18. General Provisions
- Severability: if any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
- Entire agreement: these Terms, together with our separately published Privacy Policy and any specific proposal or statement of work, constitute the entire agreement between you and Tradexploits regarding the relevant engagement.
- No waiver: our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: we are not liable for delay or failure to perform caused by circumstances beyond our reasonable control.
